Terms of Service

1. Acceptance of Terms

By accessing or using Parly (the “Service”), operated by Parly (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Parly is a web-based inventory management and operational intelligence platform designed for cafes and restaurants. The Service provides inventory tracking, demand forecasting, purchase order suggestions, task management, sales and labor analytics, and POS integration capabilities. The Service is provided as a Progressive Web App (PWA) accessible through modern web browsers.

3. Accounts

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must provide accurate and complete information when creating your account and keep it updated. You agree to notify us immediately of any unauthorized use of your account.

Organization owners can invite team members and assign roles (Owner, Manager, Member). Each role has different access levels and permissions within the Service. Organization owners are responsible for managing their team members' access.

4. Permitted Use

You agree to use the Service only for:

• Lawful business purposes related to managing your food and beverage operation.
• Entering accurate inventory counts, business data, and operational information.
• Accessing reports, forecasts, and suggestions generated by the Service for your organization's operational use.

You agree not to:

• Use the Service for any illegal, fraudulent, or unauthorized purpose.
• Attempt to access data belonging to other organizations or tenants.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated tools to scrape, crawl, or extract data from the Service beyond your own organization's data exports.
• Interfere with or disrupt the integrity or performance of the Service.

5. Intellectual Property

The Service, including its design, code, features, and content (excluding your business data), is owned by Canal Street Coffee NYC, LLC and is protected by intellectual property laws. You retain full ownership of the business data you enter into the Service. We claim no ownership rights over your inventory data, sales records, recipes, or other business information.

6. Your Data

You own all data you enter into the Service. We process your data solely to provide and improve the Service. You can export your data at any time via the built-in CSV export feature. Our use of your data is further described in our Privacy Policy. By using the Service, you grant us a limited license to use your data solely for the purpose of providing the Service to you, including generating AI-powered forecasts and recommendations.

7. Third-Party Integrations

The Service integrates with third-party platforms, including Square POS. By enabling these integrations, you authorize us to access your data on those platforms in accordance with their respective terms of service. We access Square data in read-only mode and are not responsible for the availability, accuracy, or security of third-party services. You are responsible for maintaining your third-party account credentials and authorizations.

8. AI-Generated Content

The Service uses artificial intelligence to generate demand forecasts, order suggestions, and other recommendations. These are provided as decision-support tools and should not be treated as guaranteed outcomes. You are responsible for reviewing and approving all AI-generated suggestions before acting on them. We are not liable for business decisions made based on AI-generated content.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or experience downtime due to circumstances beyond our control. We will make reasonable efforts to notify you in advance of planned maintenance. We are not liable for any losses resulting from service interruptions.

10. Limitation of Liability

To the maximum extent permitted by law, Parly and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or available at all times.

12. Termination

You may stop using the Service and request account deletion at any time. We may suspend or terminate your access to the Service if you violate these Terms, engage in fraudulent or harmful activity, or fail to pay applicable fees. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination to allow for data export, after which it will be permanently deleted.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New York County, New York, and you consent to the jurisdiction of such courts.

14. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
